Answers to Common Questions About Creiland Capital

Everything investors and sponsors typically ask about the platform, investing, digital & tokenized structures, compliance and eligibility.

About Creiland Capital

Creiland Capital is a digital private markets platform focused on commercial real estate. The platform is designed to connect eligible investors with private real estate investment opportunities, including Creiland-sponsored funds and selected opportunities from third-party real estate sponsors.

Investment opportunities are currently intended for eligible accredited investors, subject to the requirements of each offering and applicable securities laws. Investors may be required to complete identity verification, investor qualification, KYC/AML and other compliance procedures before accessing or investing in an offering.

Creiland Capital focuses on private commercial real estate opportunities that may include income-producing properties, development projects, land, multifamily, retail, industrial and other real estate strategies. Availability will vary as new opportunities are introduced to the platform.

Creiland Funds are investment vehicles sponsored or managed by Creiland Capital or its affiliates.

Marketplace Investments are opportunities sponsored by third-party real estate owners, developers or investment groups and made available through the Creiland Capital platform, subject to applicable review and eligibility requirements.

Investors should review the specific offering documents to understand the sponsor, investment structure, risks, fees and terms of each opportunity.

Investing

Create an investor account and complete the required investor qualification and verification process. Once approved, eligible investors can access available investment opportunities, review offering information and proceed with investments for which they qualify.

Yes. Minimum investment amounts are established separately for each fund or investment opportunity and will be displayed on the applicable offering page and offering documents.

Each opportunity is intended to provide investors with access to relevant information such as the investment overview, business plan, property information, financial information, sponsor information, investment structure, risks and supporting documents.

Investors should conduct their own due diligence and consult their legal, tax and financial advisers before making an investment decision.

No. All real estate and private market investments involve risk, and returns are not guaranteed. Target returns, projected distributions, IRRs or other forecasts are estimates only and may not be achieved.

The platform is being designed to provide investors with centralized access to investment information, documents, reporting, distributions and ongoing investment updates. The information available will depend on the individual investment and sponsor.

Digital & Tokenized Investing

Creiland Capital's tokenization model is intended to digitally represent an investor's interest in an underlying investment vehicle, such as a limited partnership or other legal entity that owns or invests in real estate.

The token itself should not be understood as direct legal title to a physical portion of a building unless the applicable legal documentation specifically provides otherwise.

No. The investment opportunities presented through Creiland Capital are intended to represent interests in private real estate investment structures rather than purchases of cryptocurrency.

Blockchain or other digital infrastructure may be used to support aspects of ownership records, administration, transactions and reporting.

Digital infrastructure can potentially improve the administration of private investments by supporting more efficient ownership records, transaction histories, investor reporting and compliant transfer processes.

Real Property. Real Investments. Digital Infrastructure.

Private real estate securities are generally not freely tradable and may be subject to securities laws, contractual restrictions, holding periods and other transfer requirements.

Creiland Capital's longer-term platform strategy may include compliant secondary-transfer functionality for eligible investments and investors. Tokenization should not be interpreted as guaranteeing liquidity or the ability to sell an investment.

Security & Compliance

Depending on the investment, investors may be required to complete identity verification, KYC/AML procedures, accredited-investor qualification and other suitability or compliance requirements.

Creiland Capital may review areas such as the sponsor, property, financial information, investment structure, financing and available due-diligence materials before an opportunity is presented through the marketplace.

Any review performed by Creiland Capital should not be interpreted as a guarantee, recommendation or assurance of future investment performance.

All investments involve risk. Creiland Capital is designed to provide a secure digital environment for investor onboarding, investment information, documentation and administration, but neither platform security nor real estate ownership eliminates investment risk.

Sponsors

Yes. Creiland Capital is being developed to support qualified third-party sponsors seeking to present eligible commercial real estate investment opportunities to the platform's investor network.

Real estate developers, property owners, investment managers and other qualified sponsors may submit opportunities for consideration. Acceptance onto the platform is subject to Creiland Capital's review process and applicable legal, securities and compliance requirements.

Sponsors can complete the Become a Sponsor or List Your Opportunity application and provide preliminary information about their organization, track record, property, investment structure and proposed capital raise.

Submission does not guarantee that an opportunity will be accepted or listed.

Canada, U.S. & International Investors

Creiland Capital is initially focused on eligible Canadian investors. The platform is being designed with the ability to expand into additional jurisdictions over time, including eligible U.S. and international investors, subject to applicable securities, regulatory and offering requirements.

Not necessarily. Investment availability may depend on an investor's country of residence, investor classification, accreditation status and the securities-law requirements applicable to a particular offering.

As the platform expands, eligible investors may only be provided access to opportunities for which they meet the applicable requirements.
