Tokenization can be used to digitally represent an investor's interest in a legal investment vehicle that owns or invests in real estate. Rather than replacing the underlying legal investment structure, digital infrastructure can support ownership records, administration, reporting and permitted transfers.

Tokenized LP units are limited partnership interests that are digitally represented using blockchain technology. The investor continues to own an interest in the underlying limited partnership, while the digital representation can help support ownership records, administration and permitted transactions. The investor's rights remain governed by the limited partnership agreement, subscription documents and applicable laws; not by the token alone.
Tokenization does not replace the traditional limited partnership structure. The General Partner (GP) or manager continues to oversee the partnership and investment strategy, while Limited Partners (LPs) participate economically according to the terms of the partnership agreement. Digital infrastructure can provide an additional layer for representing LP interests, maintaining ownership records and supporting investor administration while the underlying LP/GP governance structure remains intact.
Not necessarily. In many real estate investment structures, investors acquire an interest in a limited partnership, corporation, trust or other investment vehicle that owns or invests in the property; not direct title to a specific portion of the physical building. A digital token may represent that investment interest and the associated economic and contractual rights.
Tokenization and cryptocurrency both use digital technology, but they serve different purposes. A cryptocurrency such as Bitcoin is a digital asset in itself. A tokenized real estate security, by contrast, can digitally represent an existing legal investment interest, such as units of a limited partnership. Where the underlying investment is a security, applicable securities laws continue to apply regardless of the technology used to represent it.
A digital security is a security whose ownership or economic interest is represented through digital infrastructure. In real estate, digital securities could represent interests in limited partnerships, corporations, trusts, funds or other investment vehicles. Digital representation can modernize how securities are administered and recorded without changing the fundamental legal and economic nature of the investment.
Blockchain can provide a digital infrastructure layer supporting the administration of private real estate investments. Depending on the structure, it may support: • Digital Ownership Records • Investor Administration • Transaction History • Transfer Controls • Distribution Records • Compliance Workflows The underlying property, investment vehicle, legal agreements, financial records and investor rights remain separate from the blockchain infrastructure.
Tokenization does not replace traditional accounting or financial reporting. The underlying partnership or investment vehicle continues to maintain accounting records, financial statements, capital accounts, revenues, expenses, assets and liabilities in accordance with the financial reporting standards applicable to the issuer and offering structure. Digital infrastructure can complement these processes by improving access to records and supporting more efficient investor reporting and administration.
Digital securities remain subject to applicable securities laws and investor qualification requirements. Depending on the offering, investors may be required to complete identity verification, Know Your Client (KYC), Anti-Money Laundering (AML) procedures, accreditation verification and subscription documentation before participating. Technology can help streamline these processes, but it does not eliminate the underlying regulatory requirements.
Tokenization may help make private market investments easier to administer, access and manage digitally. Investment interests may potentially be structured in smaller denominations, while digital onboarding and investor portals can simplify access to offering information, documents and ownership records. However, greater technological accessibility does not mean every investment is available to every investor. Minimum investment amounts, investor qualifications and offering restrictions may still apply.
Digital infrastructure may make approved transfers of private securities easier to administer, but tokenization does not automatically create liquidity or an unrestricted secondary market. Transfers may remain subject to securities laws, resale restrictions, investor eligibility requirements, partnership agreements and issuer or platform approval. Where permitted, blockchain infrastructure can help verify eligibility, apply transfer controls and record changes in ownership more efficiently.

The Future of Commercial Real Estate Capital Markets

Digital infrastructure has the potential to modernize how private commercial real estate investments are structured, administered and transferred.

The combination of real estate, regulated private-market infrastructure and blockchain technology could provide investors and sponsors with more efficient ownership records, streamlined administration, improved access to investment information and new mechanisms for permitted transfers.

The objective is not to replace real estate investing; it is to modernize the infrastructure supporting it.
